This Program is intended to provide the essential background that a practitioner should possess in documenting and negotiating Supply Chain Finance transactions. The Program will initially consider the typical parties in Supply Chain Finance transactions, their objectives and several key structuring issues to be addressed by the transaction parties and their counsel. We will present the structures for both “Seller-Centric” and “Buyer-Centric” Programs, their economic objectives and their key benefits. In that context, we will summarize key “true sale” principles to be considered by the documenting parties. With this background, the Program will turn its focus to the International receivable based Supply Chain Financing. We will review the typical structures, as well as the key concepts and contractual provisions arising in these transactions. Finally, we will explore the key issues pertaining to International Supply Chain Financing.
