Tatyana  Cerullo, Esq.

Tatyana Cerullo is an experienced attorney and recognized leader in Web3 and DAO law. With more than 25 years of legal practice, she brings deep expertise in corporate law, maritime law, and complex litigation. She is licensed to practice in the Republic of the Marshall Islands, New York, Hawaii, and before the United States Court of Appeals for the Ninth Circuit.

As Managing Member of Marshall Islands Lawyers LLC, Tatyana focuses on structuring and advising decentralized autonomous organizations under the Marshall Islands’ pioneering DAO legal framework. She played a key role in drafting the 2023 and 2026 amendments to the Marshall Islands DAO Act and its implementing regulations, contributing to one of the world’s most advanced statutory regimes for legally recognized DAOs.

Tatyana regularly advises global Web3 projects on the formation and structuring of Marshall Islands DAO LLCs and Series DAO LLCs. Her work includes drafting operating agreements, governance frameworks, commercial contracts, and legal opinions — including token-related legal analyses. She also provides legal support to MIDAO, the registered agent for Marshall Islands DAO LLCs, offers fractional General Counsel services to select DAO entities, and assists a company she founded, MINS LLC (Marshall Islands Nominee Services), that provides nominee and representative agent services for DAO entities.

A recognized voice in the Web3 legal community, Tatyana has been featured on the Just DAO It! podcast and has spoken and moderated at international blockchain conferences. Her unique combination of traditional legal rigor and cutting-edge DAO expertise enables her to guide innovative clients through the evolving intersection of law, governance, and decentralized technology.
