Stephen E. Fox is a partner in the Uniondale, Long Island office of Ruskin Moscou Faltischek and a member of the Corporate & Securities and Corporate Governance practices at the Firm. He has over 20 years of experience specializing as a corporate and securities lawyer, and acting as outside counsel and a trusted adviser to companies, individuals and investment funds. He has advised both strategic and financial clients across numerous industries, including technology, medical device, manufacturing, entertainment, energy, food and beverage, media, and financial services. Additionally, as transaction counsel, he has led or has taken an active role in hundreds of transactions, ranging from less than $1 million to more than $1 billion. He prides himself in his application of practical, creative and real-world guidance and solutions to client issues, not simply reciting the law or falling back to customary practice.
Stephen’s broad-based transactional experience includes the following:
• Representing public and private companies with respect to the offering and sale of registered and unregistered securities. He represents issuers in their sale of common stock, preferred stock, high-yield and investment-grade debt (both with and without conversion features) and other types of securities, and also represents investors seeking to invest in such companies. He has experience representing issuers and placement agents in Regulation D private placements, IPOs, PIPEs transactions and Rule 144A transactions, among others. In addition, he represents issuers, placement agents and brokers with respect to reverse merger or RTO transactions, with or without a financing component.
• Representing start-up companies in their initial formation and capitalization, and early stage, late stage and growth capital companies on a broad range of issues. He also represents angel and other investors with regard to various financing rounds in such companies.
• Advising buyers and sellers of businesses in connection with mergers & acquisitions and asset and stock purchases and sales, as well as “business divorces.” In addition, he has substantial experience representing investors, developers and operators in the formation of real estate and other joint ventures and co-investment vehicles, both for single asset transactions and portfolio transactions. In these capacities, he is often involved in the preparation of limited liability company operating agreements, employment agreements, partnership agreements and stockholders agreements, among other forms of commercial arrangements.
• Representing U.S. and non-U.S. registrants of all sizes with respect to their ongoing disclosure requirements under the Securities Exchange Act of 1934. He also counsels executives and boards of directors in connection with the design, implementation and administration of corporate governance and compliance programs.
Stephen’s client base includes foreign companies doing business in the United States, including companies based in Canada, Israel, the United Kingdom and France, among other jurisdictions.
Prior to joining Ruskin Moscou Faltischek, P.C., he was a partner at a prominent New York City-based law firm and was associated with an AMLaw 100 firm prior to that.
A resident of the Village of Roslyn Estates, he is a member of the Village’s Board of Trustees.
