In this program, attendees will hear about recent trends and developments in M&A-related litigation in Delaware and other jurisdictions, such as the shift away from Delaware Chancery Court and into federal district court, fewer “disclosure only” settlements, and the increased use of Delaware Section 220 demands and post-closing breach of fiduciary duty claims. The program will be of use to attorneys who are called on to litigate M&A-related claims, as well as transactional attorneys who advise parties about the risks of litigation following the announcement of a significant transaction.

Evan P. Singer, Esq., a partner at Jones Day, focuses his practice on complex commercial and business litigation, as well as internal and government investigations. He has represented companies and their officers and directors in securities class actions, shareholder derivative actions, and proxy contests, as well as claims brought under the False Claims Act (FCA), and he has represented mortgage servicers in litigation and before various state attorneys general. In addition, Mr. Singer has extensive experience conducting internal investigations, including investigations into potential violations of the Foreign Corrupt Practices Act (FCPA). He has been named a "Texas Rising Star" by the editors of Texas Monthly (2010-2015).
